All services are provided subject to a separate Client Agreement that will outline specific terms, fees, deliverables, timelines, and responsibilities. In the event of any conflict between these Terms and a Client Agreement, the Client Agreement shall prevail with respect to the services covered therein.

4. Intellectual Property Rights

All content, materials, designs, logos, trademarks, and intellectual property displayed on the Website are owned by or licensed to Fozzi Group LLC. This includes but is not limited to text, graphics, photographs, videos, audio recordings, software code, and the overall look and feel of the Website.

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Website shall be resolved through the following process:

1. Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiations within thirty days of written notice.
2. Mediation: If negotiation does not resolve the dispute, the parties shall attempt to resolve it through mediation administered by a mutually agreed mediator in Salt Lake County, Utah.

You agree that any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.

11. Severability

If any provision of these Terms is deemed to be invalid, illegal, or unenforceable under applicable law, such provision shall be severed from the remaining provisions, which shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid, enforceable provision that most closely reflects the original intent of the parties.

These Terms, together with the Privacy Policy referenced herein and any Client Agreement entered into separately, constitute the entire agreement between you and Fozzi Group LLC regarding your use of the Website and Services. These Terms supersede all prior or contemporaneous communications, proposals, agreements, or understandings, whether oral or written, relating to the subject matter hereof.

13. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Fozzi Group LLC to be effective.

14. Force Majeure

Fozzi Group LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, epidemics, labor disputes, supply chain disruptions, telecommunications failures, internet outages, and power failures. The affected party shall provide prompt notice of such events and shall use reasonable efforts to resume performance as soon as practicable.
